II. Legal Regulations on Office Apartments (Officetels)

1. What is an Office Apartment (Officetel)? 

Officetel, also known as an office apartment, is a hybrid real estate model combining workspace and living quarters, allowing users to flexibly use it for both business and personal living. This model not only meets office demands but also provides convenient accommodation. With common areas ranging from 30 to 50 square meters, some projects can expand up to 200 square meters, creating a flexible space suitable for both work and daily life. Currently, there are no specific regulations applicable to this situation. However, pursuant to Clause 3, Article 2 of the Housing Law 2023 (Luật Nhà ở 2023), it is stipulated that apartment buildings can be constructed for residential purposes only or for mixed-use purposes. This demonstrates flexibility in usage, although detailed regulations are still lacking for specific cases.

2. Can Office Apartments (Officetels) Be Used for Residential Purposes? 

Office apartments (Officetels) are a real estate model integrating two functions: they can be simultaneously used as an office and a residence. Compared to separately renting an office and an apartment, office apartments offer a more economical solution. Thanks to this convenience, office apartments provide superior value for entrepreneurs, startups, or professionals who need a workspace combined with personal living. With their outstanding advantages, office apartments are increasingly asserting their position in the modern real estate market.

3. Types of Land Currently Used for Constructing Office Apartments (Officetels)

With the development of versatile real estate models, office apartments (Officetels) are increasingly considered an ideal choice due to their convenience. Furthermore, pursuant to the provisions in Article 92 of Decree No. 102/2024/ND-CP (Nghị định số 102/2024/NĐ-CP) guiding the Land Law (Luật Đất đai), land for constructing apartment complexes includes residential land for building apartment buildings (used for living, offices, commercial, and service purposes), facilities serving residents' lives, and public works according to approved plans. Article 92 of the Decree also stipulates that apartment owners receive a Certificate of Land Use Rights and Ownership of Houses and Other Land-Attached Assets for the apartment area and common-use land. In summary, thanks to their flexibility and increasingly clear legal provisions, office apartments (Officetels) promise to remain a favored trend, bringing sustainable value to investors and businesses in the future.

4. Conditions for Developing Office Apartments (Officetels)

As of now, the Housing Law (Luật Nhà ở), the Real Estate Business Law (Luật Kinh doanh bất động sản), and related legal documents do not have specific regulations regarding the conditions for developing office apartments (Officetels), including construction standards and investment and construction procedures. Only in point c, Clause 1, Article 2 of the Land Law 2024 (Luật Đất đai 2024) is it generally stipulated as follows: “In cases where an apartment building combines offices, if the investor has the demand and meets all conditions, they shall be granted a Certificate of Land Use Rights and Ownership of Houses and Other Land-Attached Assets for one or more apartments, offices, commercial, or service establishments owned by the investor." Furthermore, the current Land Law also specifies land use terms. Therefore, office apartments (Officetels) will be granted ownership certificates if they fully comply with relevant legal provisions.

1. Important Considerations When Renting an Office Apartment (Officetel) for Business

According to the Housing Law (Luật Nhà ở), apartment buildings are only licensed for construction to meet the residential needs of the populace. Therefore, if used incorrectly for purposes other than their original intent, many complications and complex consequences may arise.

Firstly, an office apartment (Officetel) can be used for both work and living, but if you use it for business purposes, you must comply with legal regulations such as ensuring occupational safety and fire prevention and fighting.

The Ministry of Construction (Bộ Xây dựng) is the managing authority for office apartments (Officetels) in Vietnam, responsible for issuing and enforcing regulations related to the construction, planning, and development of this type of real estate. The Ministry of Construction manages and supervises the licensing, use, and operation of office apartments (Officetels) through legal documents, including the Land Law (Luật Đất đai), the Housing Law (Luật Nhà ở), and guiding decrees. The objective of this agency is to ensure that office apartments (Officetels) fully meet criteria regarding land, safety, and legal regulations throughout their exploitation and use.

3. What are the Penalties for Office Apartments (Officetels) Not Complying with Fire Prevention and Fighting Regulations?

Currently, specific regulations on handling fire prevention and fighting (PCCC) violations for office apartments (Officetels) have not yet been issued. However, Article 38 of Decree No. 144/2021/ND-CP (Nghị định 144/2021/NĐ-CP) has detailed provisions on measures to handle violations related to fire prevention and fighting during investment and construction. Specifically, as follows:

- A fine ranging from 1,000,000 - 3,000,000 VND for acts of not equipping fire prevention and fighting safety means and equipment during the construction of works.

- A fine ranging from 8,000,000 - 15,000,000 VND shall be applied for acts of constructing incorrectly compared to the approved fire prevention and fighting design, arbitrarily changing the purpose of use of the work, or carrying out renovation without a certificate of fire prevention and fighting safety appraisal.

- A fine ranging from 15,000,000 - 25,000,000 VND shall be applied for acts of constructing works or manufacturing means requiring fire prevention and fighting appraisal but without a certificate or approval document from a competent authority.

- A fine ranging from 30,000,000 to 50,000,000 VND for acts of putting work items or means into operation without a written acceptance of fire prevention and fighting inspection from the functional authority.

- A fine ranging from 40,000,000 - 50,000,000 VND applies for acts of using works or means without a fire prevention and fighting appraisal certificate or design document.
